The book “Startups: analysis of corporate and investment structures in Brazil” (Editora Almedina, 2018 – only Portuguese version available) was written with two objectives.
The first one is to help entrepreneurs and investors to become familiar and understand legal issues that are important to the startup ecosystem.
The second is to make it easier for lawyers who are starting to work in this area to understand specific characteristics of this ecosystem.
The book is divided into four parts. The first part starts with a brief historical contextualization and presents the legal life cycle of startups (from constitution to divestment), the organizations that help entrepreneurs and the types of investors.
The second part focuses on the most appropriate corporate structures used by startups, pointing out the main characteristics, reasons for using each structure and points of attention for each one.
In the third part, the investment structures for startups are analyzed, comparing the structures among themselves and pointing out the most relevant issues of each, the investment phases in which they are usually used and the reasons for the use of each type.
The last part deals with relevant contractual clauses in corporate and investment relations in startups and other important contracts.
